These Terms and Conditions ("Terms") govern your use of Chispa Awards operated by Latino Culinary Institute & Association ("us", "we", or "our"). Your access to and use of the Website is conditioned on your acceptance of and compliance with these Terms. By accessing or using the Website, you agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Website.

Awards Eligibility

To participate in our awards programs, you must meet the eligibility criteria specified for each award category. You agree to provide accurate and truthful information when submitting nominations or applications. We reserve the right to verify the eligibility of nominees and disqualify any entries that do not meet our criteria.

Awards Selection Process

Our awards selection process may vary for each program and may involve judging panels, public voting, or other methods. The decisions of the judging panel or organizers are final and binding in all matters related to the awards. We reserve the right to disqualify nominees or winners for any reason, including but not limited to fraud, misconduct, or violation of these Terms.

Intellectual Property

By submitting nominations, applications, or any other content to our awards programs, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of administering the awards and promoting our programs. You represent and warrant that you have the necessary rights and permissions to grant this license.

Limitation of Liability

In no event shall Latino Culinary Institute & Association, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Website; (ii) any conduct or content of any third party on the Website; (iii) any content obtained from the Website; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Indemnification

You agree to indemnify and hold harmless Latino Culinary Institute & Association and its affiliates, officers, directors, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your violation of these Terms or your use of the Website.

Governing Law

These Terms shall be governed and construed in accordance with the laws of The United States of America, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Website, and supersede and replace any prior agreements we might have had between us regarding the Website.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
